Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and WebVentures Ltd, operating as TalkTyper ("we," "us," "our," or "the Service") governing your access to and use of the TalkTyper application, website (talktyper.app), and all related services (collectively, the "Service").

If you are accepting these Terms on behalf of an organization or legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

TalkTyper is a macOS menu bar application that provides voice dictation and speech-to-text functionality.

2.1 Core Functionality

• Voice Dictation: Real-time conversion of spoken words into text
• Speech Processing: Local and cloud-based speech recognition capabilities
• Text Processing: Integration with Large Language Model (LLM) providers for text enhancement, correction, and formatting
• Clipboard Integration: Automatic insertion of transcribed text into active applications

2.2 Technology Options

• Local Processing: On-device speech recognition using Apple's Speech Framework and/or Whisper models
• Cloud Processing: Third-party speech-to-text and LLM services requiring user-provided API credentials
• Hybrid Approach: Combination of local and cloud-based processing based on user preferences

2.4 Service Availability

The Service is provided "as available." We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

TalkTyper does not require you to create an account with us. All purchases and subscriptions are managed entirely through the Apple App Store using your Apple ID.

3.1 Subscription Terms

• Billing Cycle: Monthly subscriptions renew every 30 days; yearly subscriptions renew every 365 days; lifetime licenses are one-time purchases
• Auto-Renewal: Subscriptions renew automatically unless canceled at least 24 hours before the end of the current billing period through your Apple App Store account settings
• Refunds: All purchases are subject to Apple's refund policy. Requests must be made through the Apple App Store within the applicable refund period
• Price Changes: We reserve the right to modify subscription pricing. Changes will apply upon renewal with advance notice
• Free Trial: If offered, free trials are available only to new users. If not canceled before the trial ends, you will be automatically charged

3.2 Cancellations

• Canceling takes effect at the end of the current billing period
• You retain access to paid features until the end of the paid period
• No partial refunds are provided for mid-cycle cancellations

3.3 Violations

If you violate these Terms, engage in fraudulent or illegal activity, or abuse the Service, we reserve the right to report such violations to Apple and request termination of your access, and/or report to appropriate law enforcement authorities.

4.1 Third-Party API Credentials

TalkTyper allows integration with third-party services using user-provided API keys. You acknowledge and agree that:

• You Are Responsible: You are solely responsible for obtaining, managing, and securing your own API keys from third-party providers
• Direct Relationship: Your use of third-party services creates a direct contractual relationship between you and those providers
• Costs and Charges: You are responsible for all costs, fees, and charges incurred through your use of third-party API services
• Security: You must keep your API keys confidential and secure
• No Liability: We are not responsible for any charges, service interruptions, or issues arising from your use of third-party services

4.2 Lawful Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws. You are solely responsible for the content you create, transcribe, or process using the Service.

4.3 System Requirements

You are responsible for:

• Ensuring your macOS device meets minimum system requirements
• Maintaining compatible operating system versions
• Providing necessary permissions (microphone access, accessibility permissions)
• Maintaining a stable internet connection for cloud-based features

4.4 Data Accuracy

You agree NOT to use the Service to:

• Violate any local, state, national, or international law or regulation
• Engage in any illegal or fraudulent activity
• Transcribe or process content that infringes intellectual property rights
• Facilitate or promote illegal activities

5.2 Harmful Content

• Create, transcribe, or distribute content that is defamatory, obscene, harassing, threatening, or hateful
• Create content that promotes violence, discrimination, or harm against individuals or groups
• Generate spam, phishing attempts, or malicious content
• Process content containing personal information of others without authorization

5.3 System Abuse

• Reverse engineer, decompile, or disassemble the application
• Remove, alter, or obscure any copyright or proprietary notices
• Use automated systems, bots, or scripts to access the Service
• Attempt to gain unauthorized access to any systems or networks
• Introduce viruses, malware, or other malicious code
• Circumvent usage limitations or subscription restrictions

5.4 Commercial Misuse

• Resell, redistribute, or sublicense the Service without authorization
• Use the Service to compete with or create a competing product
• Extract or harvest data from the Service for commercial purposes

6.1 Our Intellectual Property

The Service, including but not limited to the TalkTyper application, software code, user interface, design, graphics, logos, text, documentation, and all related intellectual property rights, is owned by TalkTyper and is protected by copyright and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal or internal business purposes. This license does not include rights to modify, copy, distribute, or reverse engineer the Service.

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to compensate you.

7.1 Third-Party API Providers

TalkTyper integrates with third-party services including but not limited to:

• Speech-to-text providers (e.g., OpenAI Whisper API, Deepgram, AssemblyAI)
• Large Language Model providers (e.g., OpenAI, Anthropic, Groq)
• Local AI processing (Ollama, LM Studio)

7.2 Third-Party Terms

Your use of third-party services through TalkTyper is subject to the respective third-party providers' terms of service, privacy policies, and acceptable use policies. You are responsible for reading, understanding, and complying with all third-party requirements.

7.3 No Endorsement

We do not endorse, warrant, or guarantee any third-party services. The inclusion of integration with third-party services does not imply our approval or recommendation.

7.4 Third-Party Availability

We are not responsible for:

• The availability, performance, or reliability of third-party services
• Changes to third-party APIs, terms, pricing, or policies
• Termination or suspension of third-party services
• Data loss, security breaches, or other issues with third-party providers
• Disputes between you and third-party service providers

8.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

8.2 Data Processing

• Local Processing: When using local speech recognition, your audio is processed on your device and is not transmitted to our servers
• Cloud Processing: When using cloud-based services, your audio and text data may be transmitted to third-party API providers subject to their privacy policies
• User Control: You control which processing methods to use and which third-party services to integrate

While we implement reasonable security measures, no system is completely secure. You acknowledge that you use the Service at your own risk, we cannot guarantee absolute security of data, and you should not use the Service for highly sensitive information requiring absolute security.

9.1 No Warranties

WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

WE SHALL NOT BE LIABLE FOR:

• Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages
• Lost Profits: Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Service Issues: Damages resulting from service interruptions, errors, delays, or unavailability
• Third-Party Services: Damages arising from third-party API services, their costs, availability, or performance
• Inaccurate Transcriptions: Damages resulting from errors or inaccuracies in transcribed content
• Data Loss: Loss or corruption of data, content, or transcriptions

11.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless TalkTyper, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of any third party
• Your violation of any applicable laws or regulations
• Your content, including any claims of infringement
• Your use of third-party API services and associated costs or damages
• Your API keys, credentials, or account security
• Any claims brought by third parties arising from your use of the Service

11.2 Defense of Claims

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims and may not settle any claim without our prior written consent.

12.1 Termination by You

You may stop using the Service at any time by:

• Canceling your subscription through the Apple App Store (in your Apple ID settings)
• Uninstalling the application from your device

Cancellation does not entitle you to a refund of any fees already paid.

12.2 Enforcement by Us

If you breach these Terms, engage in fraudulent or illegal activity, or abuse the Service, we reserve the right to report such violations to Apple and request that your access to the Service be terminated. We may also report violations to appropriate law enforcement authorities.

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• You remain liable for all obligations incurred prior to termination
• Provisions that should survive termination (ownership, warranty disclaimers, indemnification, limitations of liability) shall survive

12.4 Local Data

TalkTyper stores data locally on your device. Upon uninstalling the application, you are responsible for any data stored on your device. We do not have access to your local data.

13.1 Informal Resolution

Before filing a claim, you agree to contact us through our support page and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within sixty (60) days, you or we may bring a formal proceeding.

13.2 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of England and Wales.

13.3 Jurisdiction

You and TalkTyper agree that any judicial proceeding to resolve claims relating to these Terms or the Service will be brought in the courts of England and Wales. Both parties consent to the exclusive jurisdiction of such courts.

13.4 Limitation on Time to File Claims

Claims must be brought within the time limits prescribed by applicable law. Under English law, the limitation period for contract claims is typically six (6) years from the date the cause of action arose.

14.1 Modification Rights

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. We will provide notice of material changes by:

• Posting the updated Terms on our website (talktyper.app)
• Updating the "Last Updated" date at the top of these Terms
• Displaying a notice within the application

14.2 Effective Date of Changes

• Non-material changes: Immediately upon posting
• Material changes that negatively affect your rights: Thirty (30) days after notice

14.3 Acceptance of Changes

Your continued use of the Service after changes become effective constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
